These Terms of Use (“Terms”) govern your access to and use of the website at thebuddylabs.com (the “Site”), operated by Buddy Labs Inc., a company incorporated in Ontario, Canada (“Buddy Labs,” “we,” “us,” or “our”).
1.Acceptance of these Terms
By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.
2.About the Site
The Site provides general information about Buddy Labs and its products. The information on the Site is provided for general informational purposes only and does not constitute professional advice of any kind, including financial, investment, legal, tax, or accounting advice.
Individual Buddy Labs products, when launched, may be governed by separate product–specific terms; in the event of a conflict between those product terms and these Site Terms, the product–specific terms will control with respect to that product.
3.Permitted use
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of the Site by, anyone else. In particular, you agree not to:
- use the Site in any way that breaches any applicable local, national, or international law or regulation;
- attempt to gain unauthorised access to the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site;
- introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful;
- conduct denial–of–service or distributed denial–of–service attacks against the Site;
- use any automated system (including bots, scrapers, or spiders) to access the Site in a manner that sends more request messages to our servers than a human can reasonably produce in the same period using a conventional browser, except for well–behaved search engine crawlers that respect our
robots.txt; - reverse engineer, decompile, or attempt to derive source code from any portion of the Site, except to the extent that this restriction is prohibited by applicable law;
- misrepresent your affiliation with Buddy Labs or any other person or entity.

The Site, and all content on it (including the Buddy Labs name, logos, wordmarks, page text, layout, design, code, and graphics) is owned by Buddy Labs Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You may view and download a single copy of the Site’s pages for your personal, non–commercial reference. Any other use, including reproduction, modification, distribution, transmission, public display, or commercial exploitation, requires our prior written permission. Press, journalists, and partners may use the Buddy Labs name and logo to refer to Buddy Labs Inc. in editorial contexts, provided the use is accurate and not misleading.

The Site may contain links to third–party websites, services, or resources that are not owned or controlled by Buddy Labs. We provide these links for convenience only. We do not endorse, and are not responsible for, the content, accuracy, opinions, products, or services of any third–party site. Your use of any third–party site is at your own risk and subject to that site’s terms and policies.
6.Disclaimer: the Site is provided “as is”
The Site and all content on it are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Buddy Labs disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non–infringement, and any warranties arising out of course of dealing or usage of trade.
We do not warrant that the Site will be uninterrupted, error–free, secure, or free from viruses or other harmful components, or that any information on the Site is accurate, complete, or current.
7.Limitation of liability
To the fullest extent permitted by applicable law, in no event will Buddy Labs Inc., its directors, officers, employees, agents, or affiliates be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, business, goodwill, or other intangible losses, arising out of or relating to your access to or use of the Site, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability will be limited to the maximum extent permitted by law.
8.Indemnity
You agree to indemnify, defend, and hold harmless Buddy Labs Inc. and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your access to or use of the Site, (b) your breach of these Terms, or (c) your violation of any law or the rights of any third party.
9.Governing law and jurisdiction
These Terms and any dispute arising out of or related to them or to your use of the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict–of–laws principles. You agree that any dispute will be resolved exclusively in the courts located in Toronto, Ontario, and you submit to the personal jurisdiction of those courts, except that we may seek injunctive or other equitable relief in any court of competent jurisdiction.
10.Changes to these Terms
We may revise these Terms from time to time. The most current version will always be posted on this page with an updated “Last updated” date. Material changes will be highlighted on the homepage or otherwise brought to your attention. Your continued use of the Site after the effective date of any revised Terms constitutes acceptance of the changes.
11.Severability and entire agreement
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Buddy Labs regarding your use of the Site.
